1. Acceptance and informational purpose
The effective Terms will govern use of the public Site. Site content is provided for general business information and does not create a consultant-client relationship. It is not legal, tax, accounting, cybersecurity, accessibility-conformance, or financial advice.
2. No guarantee of results
Examples, frameworks, pricing illustrations, case studies, and articles do not guarantee that any business will achieve the same or a particular result. Ecommerce outcomes depend on product-market fit, traffic, pricing, competition, technology, client decisions, implementation, and other factors outside Proper Commerce’s control.
3. Eligibility and permitted use
The Site is intended for adults authorized to act for themselves or the business they identify. Users may evaluate the services and use the information lawfully. Users may not interfere with the Site, attempt unauthorized access, introduce malware, submit credentials or customer data, misrepresent identity or authority, scrape the Site at scale, impersonate the business, or remove rights notices.
4. Intellectual property
Site copy, methodology descriptions, graphics, layouts, software, and original materials are owned by or licensed to the final Proper Commerce legal entity and protected by applicable law. Client ownership and licenses are governed only by signed service agreements.
5. Shopify and third-party marks
Shopify is a trademark of Shopify Inc. Proper Commerce is an independent consultancy and is not affiliated with, endorsed by, or sponsored by Shopify Inc. Other names and marks belong to their respective owners.
6. User submissions and third-party services
Users retain ownership of information they submit and authorize its use to evaluate and respond to the inquiry, operate and secure the Site, and perform activities described in the Privacy Policy. The Site may use third-party scheduling, forms, analytics, and email tools governed by their own terms.
7. Disclaimers and limitation of liability
The attorney-reviewed Terms will contain the applicable “as is” warranty disclaimer, limitations of liability, and indemnity language. Those terms cannot be finalized until the legal entity, insurance, jurisdictions served, governing law, venue, and counsel review are complete.
8. Governing law and venue
The legal pack uses Georgia law as a working assumption. Governing law, county, venue, dispute process, and any jurisdiction-specific limits remain unresolved and block production publication.
